J.D. Fugate

Biography

J.D. Fugate is an experienced corporate counsel specializing in technology and intellectual property transactions, healthcare, and privacy. He served in a number of leadership roles at Microsoft Corporation for more than 16 years and was most recently Assistant General Counsel for Regulatory Affairs.

His experience includes managing teams providing direct legal support to distinct business units: PC desktop and server operating systems, Windows marketing, partner engagement and joint development, source code sharing with governments and industry partners, emerging and developing markets, healthcare solutions, strategic silicon partners, and hardware quality. He has handled cloud services agreements, channel sales programs, PaaS, SaaS, and IaaS transactions, among others. In addition to negotiating and reviewing agreements covering a broad spectrum of business needs, he provided specialized regulatory guidance in the areas of privacy, healthcare, and FDA compliance. J.D. has leveraged this expertise in counseling established GSH clients.

Representative transactions:

• Cloud services master agreement representing a Fortune 100 insurance company dealing with a major cloud provider to procure inventory management, dynamic learning technology and other business solutions
• Supplier, vendor, and sponsored research agreements representing one of the world’s most recognized vehicle manufacturing companies dealing with a range of technology providers, as well as public and private research institutions, bringing next-generation motorized vehicles to market
• Competitive research and negotiation support for public sector procurement master agreements to provide $100+ million in computing devices and associated services to state and local governments
• Cloud payroll services agreement representing a Wisconsin 501(c) 3 non-profit agency with more than 40 programs providing a variety of services in Southeastern Wisconsin
• Numerous cloud service agreements representing a major cloud provider dealing with enterprise customers in finance, healthcare, food & beverage, elite retail, and hospitality
• Co-development agreement for next-generation technology support in the field for Fortune 100 insurer dealing with leading networking technology provider
• Agreements totaling more than $200 million with pharmaceutical, medical provider, and healthcare delivery partners, including an exclusive arrangement to offer Microsoft HealthVault in Canada
• Multi-year, joint collaboration agreement with Fortune 50 silicon partner to bring advanced multiple-core operating system and hardware technology to market
• Windows source code license agreements with government agencies around the world

Mr. Fugate’s experience also includes a five year practice with K&L Gates of Seattle, where he focused on litigation, technology, and intellectual property. Mr. Fugate also served as a law clerk to the Honorable Gilbert S. Merritt, Chief Judge of the U.S. Circuit Court of Appeals for the Sixth Circuit.

He is a member of the International Association of Privacy Professionals and is a Certified Information Privacy Manager (CIPM). He is also a member of the Washington State Bar Association.

Mr. Fugate speaks regularly on issues of diversity in the legal profession and most recently organized a panel on Student Privacy for the National LGBT Bar Association’s Annual Lavender Law conference. Recent presentations on healthcare include an NYU Workshop on Personal Health Portfolios and for the Health Care Compliance Association. He is actively engaged with the Seattle community and has served in a variety of leadership positions in organizations providing human services, choral arts, and civil rights advocacy.

He earned his J.D. at Yale Law School after earning a B.A. in Economics, summa cum laude, from Wake Forest University. Mr. Fugate is admitted to practice in the State of Washington and before the U.S. Circuit Court of Appeals for the Sixth Circuit.
