Biography

Judith L. Melideo-Preble concentrates her practice in real estate law, representing lenders, purchasers and sellers in all aspects of real estate transactions. Ms. Melideo-Preble regularly negotiates Purchase Agreements, Non-Disclosure Agreements, Leases, Easements, Licenses and other types of contracts and agreements for Fortune 500 clients and regularly provides counsel to lender clients including preparation of Promissory Notes, Mortgages, Subordination Agreements and Loan Modification Agreements, as well as collateral documents, such as Assignments of Leases and Rents and Assignments of Contracts, Licenses, and Permits. She represents direct lenders and correspondent lenders whose loans are routinely sold to other lenders or quasi-public agencies. As lender’s counsel, she also has significant experience as settlement agent which includes, in addition to negotiation and preparation of closing documents and conducting title and other due diligence, receipt and disbursement of closing funds, and issuance of title insurance policies and endorsements as the lender may require. She also has significant experience representing lenders in connection with sales of lender owned foreclosed property (REO).

Ms. Melideo-Preble provides a number of title services and title due diligence services to clients, including review of title abstracts, resolution of title issues, rendering opinions, issuing commitments and title insurance. She is a title agent for First American Title Insurance Company and Stewart Title Guaranty Company.

Ms. Melideo-Preble’s representation of buyers and sellers in real estate transactions includes review, drafting, and negotiation of purchase agreements and preparation of documents for closing; representing clients in condominium conversions and advising clients purchasing new condominium conversion and new construction properties.

Ms. Melideo-Preble regularly advises clients as issues arise concerning the impact of various regulatory, legislative and judicial matters affecting real estate transactions generally. Ms. Melideo-Preble also provides assistance to clients in the reuse, redevelopment, and sale of Brownfields properties, working in concert with the Firm’s environmental attorneys.

She advises individuals and businesses in entity organization and transactional matters, including acquisition and sales of businesses and drafting of shareholder, LLC, and partnership agreements.

Ms. Melideo-Preble earned her B.A. in Political Science from Regis College, cum laude, her J.D. from Suffolk Law School, and her LL.M. in Taxation from Boston University. She is a member of the Real Estate Bar Association of Massachusetts, and she has been active on the Board of Directors, including service as Past President, of the John M. Barry Boys and Girls Club of Newton. She is admitted to practice in Massachusetts, U.S. District Court for the District of Massachusetts, U.S. Tax Court, U.S. Court of Appeals First Circuit, and the U.S. Supreme Court.
