Michael S. Jackson

Biography

Michael S. Jackson’s legal experience includes general commercial matters, securities regulatory filings, private placement syndications, public financing transactions, real estate development transactions, joint venture agreements, corporate governance policies, government representation, intellectual property matters, and entertainment agreements.

Mr. Jackson represents closely-held companies, small businesses, and not-for-profit organizations regarding the establishment, implementation, and management of risk-management and corporate compliance policies in such areas as employment practices, antitrust, labor relations, business ethics, federal and state minority certification regulations, and public and private financing for product and/or company acquisitions.

He represents real estate developers in the acquisition of commercial and residential properties, including handling zoning issues, negotiation of acquisition agreements, drafting and review of financing documents, and handling title and settlement matters.

Mr. Jackson also acts as sole General Counsel for Powell Steel Corporation, where he has handled the drafting and negotiation of construction contracts and subcontracts; structured the acquisition of commercial real property for expansion of fabrication plant through tax-deferred like kind exchange; negotiated with commercial bank regarding terms of credit facilities; arbitration and mediation of construction claims, involving delay claims, claims for nonpayment, and acceleration claims; and filed mechanics liens and surety bond claims.

Mr. Jackson has been an arbitrator for commercial and civil disputes for Chester County Court since 2002 and was a member of the East Bradford Township Planning Commission. He is currently on the Board of Trustees for the KIPP Philadelphia Charter School. Mr. Jackson earned an A.B. in Politics at Princeton University and his J.D. from Harvard Law School. He is licensed to practice in New York and Pennsylvania.
