Deirdre C. Elliott practices in the areas of corporate and transactional law, contracts, and bankruptcy. Prior to joining Gonzalez Saggio & Harlan, Ms. Elliott was in house at Harley-Davidson Motor Company, where she prepared and negotiated contracts of all varieties, including but not limited to, master services agreements, master supply agreements, professional services agreements, leases, capital equipment purchase agreements, sponsorship agreements, supplier transition agreements, licensing agreements, joint marketing agreements, and consulting agreements, along with all types of agreements for the Harley-Davidson Museum.
Ms. Elliott served as a member of the senior leadership group of Badger Meter, Inc. as Vice President-Corporate Counsel and Secretary. While at Badger Meter, she was responsible for the corporate compliance program; corporate secretarial function, including responsibility for Board of Directors, preparation of securities filings, prospectuses, amending by-laws, resolutions, and managing public company compliance; managed complex litigation; advised business and performed legal services in securities, sales, distribution, marketing, procurement, environmental, international, employment, and all other areas of business; dealt with bankruptcies of distributors, suppliers, and customers; and regulatory compliance and participation in the regulatory process, including rulemaking and bid protest hearings.
Her first position was as Law Clerk to Judge James E. Shapiro, United States Bankruptcy Judge for the Eastern District of Wisconsin. Her background also includes practicing with Milwaukee law firms as a Chapter 11 bankruptcy attorney, handling bankruptcies of businesses, reorganizations and restructurings, and advising clients on all types of business issues as they entered reorganization process. Ms. Elliott is a member of the State Bar of Wisconsin and was involved with the Chapter 180 Committee, which reviewed business incorporation statutes of all 50 states and drafted legislation to bring Wisconsin’s law into conformance with best practices of other states.
Ms. Elliott earned her J.D., with honors, at the University of Minnesota Law School and a B.A. in Political Science, summa cum laude, Phi Beta Kappa, Phi Kappa Phi, from the University Of Minnesota. She is Past President of the Milwaukee Chapter of Society of Corporate Secretaries and Corporate Governance Professionals and the Wisconsin Chapter of the Association of Corporate Counsel and was a speaker at the national conventions of both groups. Ms. Elliott is admitted to practice in the State of Wisconsin, U.S. Court of Appeals for the Seventh Circuit and the U.S. District Courts for the Eastern and Western Districts of Wisconsin.
