Biography

Glen A. Germanowski has 30 years of experience advising companies on various legal matters, including high tech transactions involving computer hardware and software. He has drafted and negotiated master agreements, software licenses, custom software development agreements, hosting agreements, software as a service (SaaS) agreements, partner agreements, all forms of reseller agreements, and agreements for other complex transactions in the computer hardware, software, and networking industries.

He also has extensive experience in privacy and data security counseling, and in drafting privacy policies, and agreements with complex privacy protections. Mr. Germanowski has advised on meeting customer privacy and protection requirements and on privacy protection provisions in vendor contracts in the U.S., and also for programs and projects where personal information is collected in the EU, Canada, Mexico, and several other countries and processed in the U.S. He has advised on HIPAA, state privacy laws, COPPA, the Can-Spam Act, the “Do Not Call” list, FTC rules, and PIPEDA in Canada, the Directives and associated laws of the EU. He has also led efforts for client certification and compliance with the requirements of the U.S. Department of Commerce’s Safe Harbor Framework and has also drafted data retention and related policies for clients. He holds a number of privacy certifications from the International Association of Privacy Professionals.

Mr. Germanowski has held a variety of positions, prior to private practice, including as General Counsel at InfoMedics, Inc., a company developing and implementing worldwide patient survey programs for the pharmaceutical industry. He was also a Vice President and Associate General Counsel at Sybase, Inc., a large mobile and database software manufacturer. Prior to that, he was a Corporate Counsel and also held business positions with Digital Equipment Corporation.

His article, entitled, “Is the “Shrinkwrap” License Worth the Paper Envelope it’s Printed On” was published by Oxford University’s Press’, International Journal of Law and Technology. Mr. Germanowski has also participated in numerous legal education panels, speaking on topics such as privacy and cloud computing, the Safe Harbor Framework, and standards in the computer industry.

Mr. Germanowski earned his J.D. at Suffolk University in Boston. He also holds an M.B.A. from Rivier University and an M.S. in Labor Relations from the University of Massachusetts. He has a Post Graduate Diploma in Legal Informatics from the University of Strathclyde Law School in Glasgow, Scotland. His B.A. is in Liberal Arts and was earned at Norwich University. Mr. Germanowski is licensed to practice law in Massachusetts, the U.S District Court in Massachusetts, the U.S. Court of Appeals First Circuit, and before the U.S. Supreme Court.
