Peggy A. Miller is Partner, e-Technology and Intellectual Property Law. Ms. Miller has decades of experience solving legal challenges related to information and systems technology and software, websites, online marketing, outsourcing, e-Commerce, mobile apps, Software as a Service (SaaS), IP/IT M&A and securitization deals. She provides legal advice and counsel regarding social media, IT/IS due diligence, licensing, JVs, commercial transactions and contracts, domain name and copyright protection, data privacy, and EULAs/Terms of Use. Ms. Miller’s practice also includes advising clients about the development, protection, purchase and sale of branded technology, services, websites and mobile apps, establishing rights in marks and related domain names and resolving domain name disputes.
Experienced in all aspects of interactive services and technology law, Ms. Miller advises, negotiates, and drafts materials for new product development, master technology consulting agreements, website development, software creation and licensing, domain name matters and related disputes, and domestic and international outsourcing and insourcing agreements. She drafts terms of use, privacy policies, screen notices, license terms and disclaimers, software downloads, Intranets and portals, and activities on social media sites. She has also developed internal e-Commerce policies for global insurance, financial services and marketing companies.
Ms. Miller’s experience includes advising on the creation, use, ownership and licensing of third party software, including cloud computing, open source “copyleft” software and SaaS issues, and compliance with COPPA, DMCA, CDA, HIPAA, FTC Rules and other laws and regulations regarding privacy for websites and portals, as well as online promotions, free- and paid-entry skill contests, sweepstakes, management and commercial use of blogs, liability for user generated content, defamation and violation of EULA/Terms of Service, and protecting against illegal and intrusive activities by fans and user websites.
Ms. Miller helped establish the technology law practice at a large global law firm where she was Of Counsel for fourteen years. She has held a variety of senior in-house positions in legal, operations, and line departments as Executive Director and Group Counsel for New Business Ventures, Associate General Counsel, Director of Commercial Operations, and Director of the Crisis Management Group at Prodigy Services Company, the first consumer online service in the U.S. (launched in 1988). She has advised, negotiated, and drafted global insourcing, outsourcing and source code development and acquisition agreements for major companies, including in the financial services, insurance and global shipment logistics industries.
Ms. Miller has been included in the New York Super Lawyers® list by Law and Politics magazine (2006, 2007) and is listed in Marquis Who’s Who in American Law, Who’s Who in Communications & Media, Who’s Who of American Women, and Who’s Who in Finance and Business. Ms. Miller is a member of the Board of Advisors for the American Management Association, Information Systems & Technology Council. She is a frequent lecturer and CLE speaker on Internet and technology law, as well as interactive media legal issues.
Ms. Miller earned her J.D. at Harvard Law School and her B.S. in Mathematics, summa cum laude, Phi Beta Kappa, at Union College, Schenectady, New York. She is admitted to practice in New York.
