Biography
Sharron Lamoreaux’s legal practice has focused for more than 15 years on the over-the-counter (“OTC”) derivatives and financial services markets. Her experience includes negotiating and providing advice with respect to standardized agreements, such as ISDA swap transactions, securities lending agreements, repurchase and reverse repurchase agreements, municipal bond-related forward delivery agreements and investment agreements, and EEI and NAESB transactions, as well as designing and negotiating customized swap transactions and agreements, such as municipal bond-related investment agreements, guaranteed investment contracts, and stable value-related agreements. In these markets, she has represented governmental entities, corporate entities, banks, investment banks, insurance companies, employee benefit plans, mutual funds, hedge funds, and other parties. Her clients have included both buyers and sellers of various products and both U.S. and offshore OTC market participants. In several instances, Ms. Lamoreaux has had the privilege of being primary or sole counsel for clients structuring or continuing their swap programs and/or portfolios.
As part of her financial services practice, Ms. Lamoreaux is accustomed to working with ancillary arrangements, such as bond indentures, bond purchase agreements, custodial agreements, trust agreements, credit agreements, and investment advisory agreements, and with entity-specific issues, such as the investment and other authority of governmental bodies and other entities, relevant ERISA provisions, and relevant 1940 Act requirements and restrictions.
Ms. Lamoreaux’s legal experience encompasses general corporate matters and a specific concentration in insurance regulatory issues. She has represented corporate clients in connection with all aspects of organizations, acquisitions, dispositions, reorganizations, and dissolutions and has been involved with insurance general regulatory matters, insurance securitizations, insurance product development and marketing, insurance company insolvencies, and reinsurance arrangements. Her experience in the insurance arena includes insurance provided in connection with OTC transactions.
Before she began her legal career, Ms. Lamoreaux was an analyst for the federal government in Washington, D.C., specializing in African issues. She is moderately fluent in Italian and has exposure to French, German, and Mandarin Chinese.
Ms. Lamoreaux received a Bachelor of Arts degree in International Relations from Brigham Young University and earned a J.D., cum laude, from Washington and Lee University School of Law, in Lexington, Virginia. Her professional memberships include the Chicago Bar Association and the American Bar Association. She is admitted to practice law in the State of Illinois.
