Mr. Berg received his J.D., graduating cum laude, from Harvard Law School , where he was Executive Editor of the Harvard Journal of Law and Public Policy. He received a B.A., with High Distinction, from the University of Virginia .
Mr. Berg primarily practices in the areas of M&A, corporate finance, real estate transactions, media and marketing law, and general corporate law. He has extensive experience representing companies, private equity firms, and investment banks in the acquisition and divestiture of private companies, private placements of equity and debt, public securities offerings (including high-yield debt and initial public offerings of stock), bank credit agreements, and commercial secured financings.
Mr. Berg’s experience also includes having negotiated a large number of corporate licensing, employment, non-competition, strategic partnership, real estate, insurance, and general corporate agreements for various media, marketing, and information industry clients. He has also advised senior management with respect to issues of corporate finance, securities regulation, general corporate matters, intellectual property/data privacy matters, and M&A strategy. He has served as a member of the board of directors of several venture-funded media companies.
Mr. Berg’s prior experience includes serving as Assistant General Counsel for PRIMEDIA, Inc.; Vice President for Business Development for PRIMEDIA, Inc.; corporate attorney with the law firm of Cravath, Swaine & Moore LLP; and law clerk for Hon.
