The Energy and Regulatory Group has extensive collective experience in helping clients to take advantage of opportunities in the regulated and deregulated energy environments. This enables the Group to assist clients in capitalizing upon the opportunities presented by the emergence of competitive natural gas and electricity markets, as well as represent utilities and other entities that must manage the ongoing business and regulatory process.

Our experience encompasses the range of regulation of the generation, sale and transportation and transmission of natural gas and electricity, including extensive involvement in rate, tariff, rulemaking, restructuring, and numerous other regulatory proceedings before a wide variety of state, provincial, and federal regulatory bodies, including the Federal Energy Regulatory Commission, the U.S. Department of Energy, the Canadian National Energy Board, and various state regulatory commissions.

Our attorneys have also been involved in an array of complex energy and related corporate transactions, such as asset sales, mergers and acquisitions, natural gas purchase and sale contracts, power sales and marketing agreements, and the creation of strategic alliances, joint ventures, and operating agreements. We have experience participating in legislative initiatives and have handled numerous court appeals from regulatory commission decisions. We also have experience representing renewable energy developers, particularly in wind and solar energy production.

Federal agencies involved in energy regulation and policy, including the Department of Energy, the Federal Energy Regulatory Commission, the Department of Transportation, the Environmental Protection Agency, and the Department of the Interior.

Various state bodies, including but not limited to, the Texas Railroad Commission, the Illinois Commerce Commission, the Public Service Commission of Wisconsin, the Iowa Utilities Board, the New York Public Service Commission, the Indiana Utility Regulatory Commission, the Michigan Public Service Commission, the Ohio Public Utilities Commission, and the Pennsylvania Public Utility Commission.

We have represented clients on an array of natural gas and petroleum matters in connection with domestic and international transactions, as well as regulatory and judicial proceedings involving production, gathering, transportation, sales and resales, marketing, rulemaking and ratemaking involving natural gas and petroleum, including assisting clients in the following types of matters:

Negotiated and drafted natural gas purchase, sales, transportation, exchange, processing, and gathering contracts, including negotiation of a $1 billion contract between a Canadian supplier and a U.S. purchaser.

Negotiated and drafted purchase and sales agreements for natural gas, petroleum, and pipeline assets and reserves, as well as compliance with Hart-Scott-Rodino and other applicable requirements.

  • Negotiated and drafted liquids and liquifiables processing and sales agreements.
  • Counseled clients concerning numerous commercial, business, and organization matters related to the energy business.
  • Acted as lead counsel in major rate and certificate proceedings and participated in leadership roles in the various deregulatory initiatives that have taken place at FERC over the past 20 years.
  • Represented clients at FERC in enforcement proceedings, as well as in informal matters relating to compliance.
  • Experience working with utility customer service personnel, ICC Staff, and Administrative Law Judges in the prosecution of complaint cases to completion, including appeals in the courts.
  • Represented utilities, marketers and other interests in major gas utility and pipeline rate cases, certificate cases, complaint cases, and enforcement matters involving natural gas.

We have also represented clients on policy and business matters related to the federal and state regulation of power and natural gas and the establishment and conduct of energy marketing enterprises such as the following:

  • Proceedings on transportation, transmission, rate, tariff, prudence, and certificate issues.
  • Utility restructuring proceedings in Illinois, Michigan, New York, New Jersey, Pennsylvania, Delaware, Maryland, and Ohio.
  • Negotiation and drafting of varying power and related agreements.
  • Independent power plant development.
  • RTO and ISO organizations and tariffs, such as the Midwest ISO and PJM.
  • Developed retail energy contracts and association agreements in Illinois, New York, New Jersey, Pennsylvania, and Ohio.
