Peggy A. Miller is Senior Counsel practicing Intellectual Property, Internet & Technology Law. Ms. Miller partners with clients to resolve legal challenges related to information and systems technology and software, websites, outsourcing, Internet/e-Commerce, IP/IT M&A, and securitization deals and agreements. She provides legal advice and counsel regarding social media, IT/IS due diligence, licensing, JVs, commercial transactions and contracts, domain name and copyright protection, data privacy, and strategies related to use of technology. Ms. Miller’s trademark practice includes advising clients regarding the development and protection of branded technology, products, services, and websites establishing rights in trademarks and related domain names and resolving domain name and trademark disputes.

Experienced in all aspects of interactive services and technology law, Ms. Miller advises, negotiates, and drafts materials related to new product development, master technology consulting agreements, website development, software creation and licensing, social networking sites, domain name and trademark matters and related disputes, including domestic and international outsourcing and insourcing agreements and agreements for modification. She drafts terms of use, privacy policies, screen notices, license terms and disclaimers, and terms regarding collection and use of personal data for client websites, software downloads, Intranets, and activities on social media sites. She has also provided advice on Internet legal risks and developed internal corporate e-Commerce policies for global insurance, financial services and e-Commerce companies.

Ms. Miller’s experience includes advising on the use, ownership and licensing of third party software, including cloud computing, open source “copyleft” software and user generated content issues, compliance with COPPA, DMCA, CDA, HIPAA, FTC Rules, and other laws and regulations regarding privacy for websites and portals, as well as online promotions, free- and paid-entry skill contests, sweepstakes, management and commercial use of blogs, liability for user generated content, defamation and violation of Terms of Service, and protecting against illegal and intrusive activities by fan/user websites.

She has practiced technology and IP law at a large international law firm and has held a variety of senior positions (Executive Director and Group Counsel for New Business Ventures, Associate General Counsel, Director of Commercial Operations, and Director of the Crisis Management Group) with Prodigy Services Company, which was the first consumer online service in the U.S. She has advised, negotiated, and drafted global insourcing, outsourcing and source code acquisition agreements for major companies, including in the financial services, insurance and global shipment logistics industries.

Ms. Miller has been recognized as a New York Super Lawyer by Law and Politics magazine (2006, 2007) and is listed in Marquis Who’s Who in American Law, Who’s Who in Communications & Media, Who’s Who of American Women, and Who’s Who in Finance and Business. Ms. Miller is a member of the Board of Advisors for the American Management Association, Information Systems & Technology Council. She is a frequent lecturer and CLE speaker on Internet and technology law, as well as interactive media legal issues.
