Dawn N. Phillips
 

Dawn N. Phillips received a B.A. from the University of Illinois at Urbana-Champaign and a J.D. from the University of Michigan Law School. Ms. Phillips’ corporate and transactional practice includes corporate transactions, public finance, municipal privatization, real estate, and renewable energy transactions. Ms. Phillips has provided bond, underwriter’s and issuer’s counsel services for various Illinois issuers including the City of Chicago, Illinois Finance Authority, Metropolitan Pier and Exposition Authority, and Chicago Transit Authority.

Ms. Phillips’ experience also includes corporate formation and drafting a range of operating agreements, shareholder agreements, and partnership agreements. Ms. Phillips has also drafted transactional and closing documents in connection with stock purchase, stock redemption, and asset purchase transactions. She provides counsel to clients on a variety of business, e-commerce, and real estate matters, including vendor agreements, employment contracts, consulting contracts, licensing agreements, and a range of commercial real estate acquisitions, dispositions, and leasing transactions.

Ms. Phillips is extensively involved in transactional matters pertaining to wind power developments and municipal privatization transactions. She currently provides broad legal representation for wind development transactions for one of the largest developers of renewable energy worldwide. Ms. Phillips provides advice and documentation regarding the full range of land development matters pertaining to wind power development, including real estate acquisition, resolution of title and encumbrance issues, siting, zoning, energy delivery, and interconnection work. She works closely with title insurance companies, land agents, developers, and engineers to resolve siting and facilities issues, such as identifying title defects, drafting and negotiating curative documents, drafting and negotiating transactional agreements pertaining to substations and switchyards, and subordination non-disturbance agreements with utilities. Ms. Phillips also assists with certain regulatory matters for power development clients.

Ms. Phillips is licensed to practice in the State of Illinois. Her professional memberships include the National Association of Bond Lawyers, Association of Commercial Finance Attorneys, Cook County Bar Association, Chicago Bar Association, Black Women Lawyer’s Association, Women of Wind Energy, and Women in Public Finance .
