Jessica Thaler counsels clients in connection with various types of corporate transactions, including mergers and acquisitions, lending and finance, development and cooperation, services, real property, and licensing. She has assisted many companies and individuals in establishing limited liability companies, corporations, partnerships, joint ventures, and other strategic business entities and has continued, thereafter, to counsel such companies with respect to their day-to-day business operations. Additionally, Ms. Thaler works with privately and publicly held companies in the preparation, negotiation, and filing of documentation required under applicable securities laws.
Prior to joining Gonzalez Saggio & Harlan, Ms. Thaler practiced for some of New York City’s premier corporate law firms. Much of Ms. Thaler’s expertise was gained through her deep experience representing middle market lenders, whether financial institutions, hedge funds, or other banks, in providing public and private borrower obtaining, secured and unsecured financial accommodations in the form of working capital loans, acquisition financings, monetization loans, hedging transactions, DIP financings and letters of credit. This experience spans many industries, including sports (major league and minor leagues), media, telecommunications, biopharmaceuticals, treasure hunting, environmental, and construction, among others.
Ms. Thaler is a member of the Sports Lawyers Association and of various committees within the New York State Bar Association, including the Membership Committee and the Committee on Lawyers in Transition. She is also a member of the Entertainment, Art and Sports Law, and the Business Law and the Corporate Law Sections of the New York State Bar Association.
